Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Agora. They cover your use of Agora as a student, including agorastudent.com, voice study sessions with Glo, and related features (together, the "Service"). You accept them by checking the box that says you agree.

Our Privacy Policy and our Voice Sessions and AI Notice explain how we handle your information. They are part of these Terms.

1. Agora is a pilot

Agora is free for students during the pilot. We may email you to ask for feedback about the pilot, such as a short survey. Answering is always up to you.

2. Who we are

Agora is an education technology project that has not yet been incorporated as a company. In these Terms, "Agora," "we," "us," and "our" mean the people who operate the Agora pilot and, once it is formed, the company that operates Agora. When that company is formed, it will take over these Terms and our responsibilities under the Privacy Policy, and we'll let you know.

Unless your school tells you otherwise, your school doesn't operate or endorse Agora.

3. Who can use Agora

You may use the Service only if:

  • you are at least 18 years old;
  • your instructor has added you to a course on Agora, or we have given you access; and
  • you are able to enter into this agreement and are not barred from using the Service under the law.

If you're under 18, let your instructor know so they can suggest another way to take part. If we learn that someone under 18 is using Agora, we may close the account and delete its information.

4. Your account

  • Your account is yours alone. Don't share access to it, let anyone else use it, or use someone else's account.
  • Keep your email secure. You sign in with Google or with a link we email to you, so anyone who can get into your email may be able to sign in as you. If you think someone else has used your account, tell us right away at info@learnwithagora.com.
  • Responsibility. You're responsible for what happens in your account, except for anything caused by our own failure to keep the Service secure.

5. Using the Service

  • Permission to use. As long as you follow these Terms, we give you a personal, limited, non-exclusive, non-transferable, revocable permission to use the Service for your own learning in the courses you're enrolled in.
  • Paid features. If we ever offer paid features, we'll tell you the price first, and you'll pay only if you choose to.
  • Usage limits. We limit things like the number of attempts for a review, the length of a session, and how much voice time you can use, and we may change these limits.
  • Changes. We may add, change, or remove features, or pause or end the pilot. If we decide to shut down the Service, we'll try to give you reasonable notice first.

6. Voice sessions

When you use voice sessions, follow our Voice Sessions and AI Notice, and answer for yourself, not through another person, a recording, or an AI-generated voice.

7. AI feedback and your grades

AI can be wrong. Glo may mishear you, mark a concept incorrectly, or say something inaccurate. Its questions, feedback, scores, and progress marks are meant to help you learn. They aren't official grades or professional advice.

Your instructor, not Agora, decides whether and how your use of Agora counts in your course.

8. Academic integrity

Follow your instructor's rules and your school's academic integrity policies when you use Agora.

9. What you may not do

You agree not to do any of the following, or help anyone else do them:

  • use the Service in a way that breaks the law or violates anyone's rights, including their privacy or intellectual property;
  • harass, threaten, or abuse anyone, or use the Service to create hateful, sexual, or violent content;
  • try to trick Glo into changing your marks or feedback, for example by giving it instructions instead of answers, or try to get Glo to reveal its instructions;
  • copy, reverse engineer, or take apart any part of the Service, including its AI prompts and models, except where the law allows it despite this rule;
  • get into, or try to get into, accounts, courses, sessions, or information that aren't yours, or get around our security measures or usage limits;
  • test the security of the Service without our written permission (if you find a security problem, please tell us at info@learnwithagora.com);
  • interfere with or overload the Service, including with bots, scrapers, or other automated tools;
  • upload or send anything harmful, such as malware;
  • share course materials or other content from Agora outside your course without the owner's permission; or
  • use the Service for commercial purposes, such as selling access to it or building a competing product.

10. Your content

What you say and write in Agora belongs to you. Your content includes your spoken answers (as transcribed), anything you write in a session, and notes you save.

So that we can run Agora, you give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, analyze, adapt, and display your content, and to create material from it, such as transcripts, feedback reports, progress marks, and class summaries. We use this license to provide, secure, evaluate, improve, and develop Agora, as described in our Privacy Policy, and our service providers may use it on our behalf. The license ends when your content is deleted from our systems, except for copies kept for a limited time in backups or as the law requires, class summaries that already include your results, and information that has been de-identified or combined with other students' information so that it no longer identifies you.

We won't publish your content in a way that identifies you, including in marketing or research, without your permission.

11. Feedback

If you send us ideas or suggestions about Agora, we may use them without owing you anything.

12. Course materials and Agora's content

  • Course materials, such as readings and slides, are provided by your instructor and belong to them or to other rights holders. Use them only for your own learning in the course, and don't copy or share them unless the owner allows it.
  • Agora's content. The Service, including its software, design, questions, and the Glo character, belongs to Agora or its licensors and is protected by law. These Terms don't give you any rights in it beyond the permission in section 5.
  • Your feedback reports. You're free to use the reports Glo creates for you for your own learning, and to share them with your instructor or anyone else you choose.

If you believe something in Agora infringes your copyright, write to info@learnwithagora.com and include:

  1. your name and contact information;
  2. a description of the copyrighted work;
  3. where the material appears in Agora;
  4. a statement that you believe in good faith that the use isn't authorized by the copyright owner, its agent, or the law;
  5. a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act for the owner; and
  6. your physical or electronic signature.

We may remove material that appears to infringe, and we may end the accounts of people who repeatedly infringe.

14. Other services

If you sign in with Google, Google's terms also apply to your Google account. Course materials may link to other websites, which we don't control and aren't responsible for.

15. Ending your use of Agora

  • You can stop using Agora at any time, and you can ask us to delete your account by writing to info@learnwithagora.com.
  • We may suspend or end your access if you break these Terms, if your instructor removes you from a course, if we need to in order to protect the Service, other people, or Agora, or if we end the pilot or the Service. When it's reasonable to do so, we'll tell you why and give you a chance to fix the problem.
  • Sections 7, 10 through 13, and 16 through 21 continue to apply after your access ends.

16. Disclaimers

The Service is a pilot, provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't promise that the Service will be available when you need it (for example, right before a deadline or an exam), that it will be free of errors or interruptions, that information won't be lost, or that transcripts, feedback, scores, or anything else produced by AI will be accurate or complete.

Nothing in these Terms limits any rights you have under laws that can't be waived or limited by an agreement.

17. Limitation of liability

To the fullest extent the law allows:

  • neither Agora nor the people who operate it will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost data, opportunities, or profits, arising out of or relating to the Service or these Terms, even if we were told they were possible; and
  • our total liability for all claims arising out of or relating to the Service or these Terms is limited to one hundred U.S. dollars (US$100).

These limits apply whatever legal theory a claim is based on. They don't apply where the law doesn't allow them, such as to liability caused by our gross negligence, willful misconduct, or fraud.

18. Indemnity

If someone else brings a legal claim against us because you broke these Terms or the law, or because your content violated someone's rights, you agree to cover the reasonable costs we incur because of that claim, including reasonable attorneys' fees, to the extent you caused them. We'll tell you about the claim and let you take part in the defense. This doesn't apply to anything we caused.

19. Disputes

  • Talk to us first. If you have a concern, please write to info@learnwithagora.com. Except for small claims or a request for an urgent court order, we'll both try in good faith to resolve the concern informally for 60 days before either of us goes to court.
  • Governing law. These Terms are governed by the laws of the Commonwealth of Massachusetts and applicable U.S. federal law, without regard to conflict-of-laws rules.
  • Courts. A dispute that isn't resolved informally will be decided by the state courts located in Middlesex County, Massachusetts, or by the United States District Court for the District of Massachusetts, and you and we agree to those courts' jurisdiction. You may also bring a claim in small claims court where you live, if it qualifies.
  • No required arbitration. These Terms don't require arbitration.

20. Changes to these Terms

We may update these Terms, for example when the pilot ends or when we add features. If we make a material change, we'll tell you in Agora or by email before it takes effect, and we'll ask you to agree to the updated Terms before you keep using the Service. For other changes, we'll update the date at the top. Changes won't apply to disputes that arose before the change.

21. General

  • Entire agreement. These Terms, our Privacy Policy, and our Voice Sessions and AI Notice are the entire agreement between you and us about the Service, except that a written agreement between Agora and your school controls where it conflicts with them.
  • Transfer. You may not transfer these Terms to anyone else. We may transfer them to the company formed to operate Agora, or as part of a merger, acquisition, or sale of assets, and whoever takes them over must honor these Terms and our Privacy Policy for the information we already have.
  • Severability. If a court finds any part of these Terms unenforceable, the rest still applies.
  • No waiver. If we don't enforce part of these Terms right away, we can still enforce it later.
  • Events beyond our control. We aren't responsible for delays or failures caused by events we can't reasonably control, such as outages at our service providers.
  • Sanctions and export laws. You may not use the Service where U.S. law prohibits it, including from a country or region under comprehensive U.S. sanctions, or if you are on a U.S. government list of restricted parties.
  • Electronic notices. You agree that we may give you notices electronically, in Agora or by email, and that those notices satisfy any legal requirement to be in writing.
  • No third-party beneficiaries. These Terms don't give rights to anyone other than you and us.
